Lennox International Appoints New Board Member, Reaffirms 2003 Guidance,
Announces Voting Results

DALLAS, May 16 /PRNewswire-FirstCall/ -- At its annual meeting today, Lennox International Inc. (NYSE: LII) announced the election of a new board member, reaffirmed its 2003 guidance, and announced results of the 2003 proxy voting.

LII announced the election of Walden W. O'Dell as a director, replacing William G. Roth. Mr. O'Dell is currently chairman of the board, president, and chief executive officer of Diebold, Incorporated, the leading global provider of integrated financial self-service delivery systems and services. He also served in a series of senior positions with Emerson Electric Co. over the course of a 33-year career.

Management reaffirmed the company's guidance for 2003, anticipating revenues to be relatively flat, earnings per share to be in the range of $1.10 to $1.20, and free cash flow approximately equal to net income.

LII also announced to shareholders the results of the 2003 proxy voting:

Proposal 1: Election of Directors: In addition to the election of Mr. O'Dell to a three-year term, four current directors were also re-elected to three-year terms: Linda G. Alvarado, Steven R. Booth, David V. Brown, and John E. Major. Directors received no less than 47,007,088 shares, or 96% percent of shares voted, for election.

Proposal 2: The stockholder proposal on indexing executive stock options was defeated, with 79% of the votes cast against the proposal.
