DALLAS, May 17 /PRNewswire-FirstCall/ -- At its annual meeting today, Lennox International Inc. (NYSE: LII) announced results of the 2007 proxy voting.

Proposal 1: Todd M. Bluedorn, who was appointed LII chief executive officer and elected to the board effective April 2, 2007, was re-elected to a three-year term on the company's board of directors. Current directors Janet K. Cooper, C.L. (Jerry) Henry, Terry D. Stinson, and Richard L. Thompson were also re-elected to three-year terms. Directors received at least 86% of shares voted for election.

Proposal 2: Shareholders approved a proposal for LII to issue up to 2,239,589 shares of LII common stock pursuant to an Agreement and Plan of Reorganization between LII and A.O.C. Corporation in exchange for 2,695,770 shares of LII common stock. The effect of this transaction will be to reduce the number of outstanding shares of LII common stock by at least 456,181 shares, at minimal cost to LII. The proposal received at least 79% of shares voted for approval. In addition to shareholder approval received today, the transaction is subject to the receipt of a private letter ruling from the Internal Revenue Service that the transaction qualifies as a tax-free reorganization.
