Lennox International Appoints New Board Member, Announces 2002 Voting Results
DALLAS, May 17 /PRNewswire-FirstCall/ -- Lennox International Inc. (NYSE: LII) announced its board of directors has appointed Stephen R. Booth to replace Richard W. Booth as a director, effective upon Richard Booth's retirement today. Stephen Booth is the great-grandson of D.W. Norris, who bought the company from Dave Lennox in 1904.
LII also announced to shareholders the results of the 2002 proxy voting at the company's annual meeting, held today at its headquarters near Dallas:
Proposal 1: Election of Directors: Five current directors were re-elected to three-year terms: David H. Anderson, Thomas W. Booth, James J. Byrne, John W. Norris III, and John W. Norris, Jr. Directors received no less than 44,016,887 shares, or 83% percent of shares voted, for election.
Proposal 2: Amendment of the 1998 Incentive Plan received 36,397,978 shares, or 68% of shares voted, to approve the plan.
Proposal 3: Amendment of the Nonemployee Directors' Compensation and Deferral Plan received 38,816,481 shares, or 73% of shares voted, to approve the plan.
